ADVISORY COMMITTEE - MINUTES - SEPTEMBER 13, 2016

Minutes
-
Advisory Board Meeting
-
September 13, 2016
-
Members: Arlynn Abramson, Chair; Ed Black; David Israel; Howard O’Brien; George Pittell; Ruth Dreiss; Joyce Reiss; Stewart Richland; Joy Vestal; Barbara Cornish; David Saxon; David Israel; and Anita Buchanan.
-
Guests: David Boas, Toni Salometo
-
Arlynn convened the meeting at 9am. August 23 minutes were corrected to properly spell “Pittell” and to add David Boas to the attendees list. The committee agreed that, in the interests of transparency, David would email draft edits from each meeting via Information Forward so delegates have a chance to be aware of proposed changes before they are published in the UCO Reporter in advance of the Delegate vote.
-
The following proposed changes to Amendments to the Bylaws of United Civic Organization, Inc. were approved unanimously by the members at this meeting. (The complete bylaw is not stated below, just the changed language within as highlighted in red or strikethrough. Some small typos are corrected in Bylaws but not reflected here.) The edits:
-
Article III F.      Alternate Delegates of the Board of Directors.  “…No Alternate Delegate shall have the  right  to  participate vote  on  any  matter  before  the  Delegates,  unless  the  Alternate Delegate is acting in place of an absent Delegate.  A Delegate is considered absent if he or she is not present during sign-in roll call.”
-
Article III G. Postponement of Vote. “… A motion to postpone a vote on any matter before the Delegates, if seconded and voted by a majority of the Delegates, shall result in postponement to the next Delegate Meeting. A postponement, as outlined by this Section G, must be taken up by the Delegate Assembly as Old Business at the next regular meeting.  No further postponements of a vote on the same matter are permitted.” [Review of III G at next meeting]

  1. Thank you for this well-written summary of the proposed UCO bylaw changes proposed at the Advisory Committee meeting. The videos of the meetings are a wonderful thing to have on the blog (how anyone can make the preposterous claim that OUR Century Village is run too secretively is beyond me), but to watch a video one must put in as much time as if one attended the meeting. Keep up with the videos, please, but a summary such as this one is invaluable. In a few minutes—provided the summary is as well written and clear as this one—you know what went on. Kudos to the committee, especially to Arlynn Abramson, chair of the committee, and Anita Buchanan, the secretary, for a job well done.

  2. I have a few questions about the proposed changes. I will ask them by Article number:

Art III F: What if the Alternate signs in and the delegate tries to sign in and [as in the past] is not allowed to sign in? If the delegate and the alternate disagree and one signs in purposely in order to cast a vote Their way, who would be given precedence? Since a president is usually the delegate, would normally fall to the president?

Art III G: If no further postponements are allowed, what happens to the vote in question? Does it go away and have to go through the whole process all over, or will it take the Executive Board recommendation or vote as the final word on the matter? [probably the way it should be, or is that what is stated in Art VI D? It is not a complete sentence in the minutes above, one can only assume it gives the Exec Board the final say in instances when the delegate assembly can not come to a conclusion on a matter.]

Art III H: How will an abstention be recorded in the minutes? Will it by the number of abstentions or by the name and association of each delegate that abstains?

Art III I: "under guidelines" [leaves too much to interpretation of Robert's Rules of Order to each individual.]

Art VI C: "...declare his/her readiness to serve on at least 2 committees "if invited by the chair"; and...[If an Executive Board Member expresses an interest in a committee, every effort should be made to allow that member to serve as a duly elected Exec Board Mbr. ]

    1. Good evening Bob,
I apologize for this reply coming so late but I didn't look to see any comments...
But I'm very glad to see your questions!

I will answer by the Articles as you listed them.

      Art III F
Each year, after each Association election, your Association submits a sheet to UCO listing the Delegate and one or more Alternates.

The first of those names who signs in, votes.

      Art III G
Could you kindly explain this again.
Specifically: What postponements/and to what are you referring?

      Art III H
Abstentions will be recorded just like yeses and no's, by the number cast.

      Art III I
The Chair will control the meeting. Roberts Rules is a guide, not a mandate.

      Art IV C
A Board Member can ask to be on a Committee, but that does mean they must be accepted.

I hope this reply better explains the Articles.

I thank you again for your interest and input and welcome you to join us on November 14th at 10:30 at UCO for our next meeting.
      Respectfully,
      Arlynn Abramson, Chair

      Article IV C
